Imagination Technologies Group plc - Imagination Technologies and Toumaz Holdings extend relationship
April 27, 2009 -- Imagination Technologies Group plc ('Imagination', LSE: IMG), a leading provider of System-on-Chip (SoC) Intellectual Property (IP), and Toumaz Holdings Limited ('Toumaz Holdings', AIM:TMZ), the specialist niche investor in emerging technologies, have agreed a significant deal which will both further develop their existing co-operation and also expand their collaboration into new areas.
As part of this extended partnership the existing co-operation in broadcast technologies with Future Waves UK Limited (‘Future Waves’), which is in the process of becoming a wholly-owned subsidiary of Toumaz Holdings, is extended to also include Internet connectivity technologies.
Under this new agreement, Toumaz Holdings will gain access to a market-leading next generation communication and digital radio multimedia IP platform based on Imagination’s META HTP and ENSIGMA UCC Series3. This will allow Toumaz Holdings to fully exploit the synergy between Imagination’s communication and multimedia IP and Toumaz Holdings’ unique AMX RF platform technology in SoCs (System-on-Chips) targeting important and fast-developing consumer connected-device markets.
Furthermore Imagination expects that this commercially and strategically significant deal will extend the reach of Imagination’s IP into new markets where Toumaz Holdings already has strong offerings, including the healthcare segment. The co-operation will provide Toumaz Holdings, with extensive and highly complementary technologies that can be deployed alongside its market-leading Sensium™ system – an ultra low power sensor interface and transceiver platform for a wide range of applications in healthcare and lifestyle management – to offer highly integrated and complete solutions.
Under the terms of its licensing arrangements Imagination receives license fees and royalty revenues on SoCs incorporating Imagination's IP shipped by partners. Consideration for the licence to Toumaz Holdings is in cash, although a portion of this can be settled by means of the issue of equity in Toumaz Holdings to Imagination.
