Tower Semiconductor Files Draft Preliminary Prospectus With Israel Securities Authority for Possible Public Offering in Israel

MIGDAL HAEMEK, Israel -- June 5, 2006

-- Tower Semiconductor Ltd. (NASDAQ: TSEM; TASE: TSEM), a pure-play independent specialty foundry, announced today that it is contemplating a public offering of securities in Israel and that it has filed a draft preliminary prospectus with the Israel Securities Authority and the Tel-Aviv Stock Exchange.

The structure of the offering, the securities to be offered and the amount the Company may seek to raise have not been determined, but may include ordinary shares, convertible debentures and warrants. Any such decisions will be made by the Company's Board of Directors should it decide to proceed with a public offering of the Company's securities.

The draft preliminary prospectus contemplates that the offering there under will be made in Israel to Israeli residents only and will not be open to investors from other countries. Any public offering in Israel is subject to the final approval of Tower's Board of Directors and to the publishing of a final prospectus with the approval of the Israel Securities Authority. In accordance with the laws of the State of Israel, a copy of the draft prospectus will not be made available to the public until a permit for the publication thereof, if sought by the Company, is issued by the Israel Securities Authority.

The securities which may be offered will not be registered under the United States Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
